Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CNC Flow application, website, and related services (collectively, the "Service") provided by CNC Flow ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

CNC Flow is a production planning and scheduling tool for CNC manufacturing environments. The Service provides features including but not limited to job scheduling, machine management, operator tracking, Gantt chart visualization, cost estimation, and work logging.

The Service is intended as an advisory and planning aid only. It does not directly control CNC machines, manufacturing equipment, or any physical processes. All scheduling suggestions, cost calculations, and optimization results are estimates and should be independently verified before use in production.

3. "As Is" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, OR AVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CNC FLOW, ITS OWNERS, DEVELOPERS, EMPLOYEES, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if we have been advised of the possibility of such damage.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

While we take reasonable measures to protect your data, we do not guarantee that data stored in the Service will not be lost, corrupted, or rendered inaccessible. You are solely responsible for maintaining independent backups of any critical data. We shall not be liable for any loss or corruption of data, regardless of cause.

7. Service Availability and Changes

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

We may also update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

8. Subscription and Billing

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled in accordance with applicable law and at our sole discretion.

We reserve the right to change pricing at any time. Price changes will take effect at the start of the next billing cycle following notice of the change.

9. Account Termination

We may suspend or terminate your access to the Service at any time, for any reason, including but not limited to violation of these Terms. You may delete your account at any time through the application settings. Upon termination, your right to use the Service ceases immediately, and we may delete your data.

10. Indemnification

You agree to indemnify, defend, and hold harmless CNC Flow and its owners, developers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

11. Intellectual Property

The Service and all associated content, features, and functionality are owned by CNC Flow and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

12. Third-Party Services

The Service may integrate with or contain links to third-party services (such as payment processors). We are not responsible for the content, privacy policies, or practices of any third-party services. Your use of such services is at your own risk.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Norway, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Norway.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CNC Flow regarding the Service and supersede all prior agreements and understandings.
